Position Summary: Reporting to the General Counsel, the Senior Legal Counsel will support Canso and its affiliates on a broad range of legal and regulatory matters, working closely with and making significant impact on all aspects of the business.
 
Job Responsibilities
  • Lead the legal work relating to the registration and ongoing regulatory compliance as a US adviser including engaging with US counsel and US compliance agents;
  • Provide regulatory advice to the firm as a securities registrant (investment fund manager, portfolio manager and exempt market dealer);
  • Support the general counsel with public company matters with respect to governance design and engagement with the board and shareholders and the TSX-V rules;
  • Support the effectiveness of the legal function and compliance function by building policies and procedures to promote efficiency, collaboration, and workflow improvement;
  • Draft and negotiate commercial contracts including distribution agreements, master service agreements, software license agreements, vendor/supplier agreements and consulting services agreements; and
  • Build and maintain collaborative relationships with internal and external business and corporate partners.
 
Qualifications
  • The ideal candidate must possess a minimum of 10 years’ post-call securities law experience (particularly registrant regulation and investment funds) with at least some of that experience gained at a leading Bay Street law firm or a Canadian or US portfolio management firm;
  • Expertise in US securities regulation (particularly US advisor regulation) is an asset;
  • J.D. or equivalent and be a member in good standing with the Law Society of Ontario;
  • Superior written and verbal communication skills;
  • Excellent interpersonal skills with a strong ability to work with all levels of the organization;
  • Ability to work both collaboratively and independently in a fast-paced environment;
  • Possess a drive to build, learn and improve and a “can-do” attitude; and
  • Ability to problem-solve and commitment to delivering top-notch legal service.
